Who these terms cover
These terms apply to work done by Runmorphic, based in India and run by its co-founders, Sri Karthikeya Bhagavatula and Hemish Jain. They apply unless a signed proposal or contract says something different.
How work is agreed
Before work starts we agree the scope, deliverables, timeline and fees in writing. Changes to the scope are agreed in writing too, and may change the timeline and fees.
Fees and payment
Fees and payment terms are set out in the proposal for each project. Ongoing support is charged under a separate plan, agreed per project.
Who owns what
Once you have paid in full, you own the automations, workflows and chatbots we built for you. We keep our general know-how, tools and reusable templates. Third-party tools such as n8n, Zapier, Make or an AI provider stay under their own licences, and their costs are yours.
Your accounts and access
Automations run in your own accounts. You are responsible for those accounts and for the access you give us. We remove our access when a project ends, unless an agreed support plan continues.
Confidentiality and data
We treat what you share as confidential and use it only to deliver the work. We sign an NDA and, where needed, a data processing agreement on request. See our privacy page for how we handle personal data.
After launch
Fixes, monitoring and new automations after launch are covered only under an agreed support plan. Where a project includes a defect-fix period, it is stated in the proposal.
What we promise, and what we don't
We do the work with reasonable skill and care. We can't guarantee specific business results, since they depend on your processes and on third-party tools we don't control. To the extent the law allows, our liability for a project is limited to the fees you paid for it.
Ending the work
Either side can end a project with written notice. You pay for work done up to that point, and we hand over what has been built.
Governing law
These terms are governed by the laws of India.
